Job Summary: Join a leading NSE & BSE listed manufacturer as a Company Secretary to lead corporate governance and regulatory compliance. This is a critical role for an experienced professional to manage secretarial functions for a firm with a market capitalization of over ₹3250 crore. Roles & Responsibilities: - Ensuring end-to-end compliance with Companies Act 2013, SEBI (LODR) Regulations 2015, and other corporate laws. Timely submission of all statutory filings with the Registrar of Companies (ROC) and Stock Exchanges. Organizing Board, Committee, and General Meetings (AGM/EGM) including preparation of agendas and resolutions. Drafting, finalizing, and maintaining accurate records of minutes of meetings and statutory registers. Overseeing stock exchange disclosures, corporate governance requirements, and e-voting procedures. Providing legal guidance on corporate governance and acting as a liaison with regulatory authorities. Drafting and reviewing legal contracts, agreements, and corporate documentation.
Requirements: - Qualified Company Secretary with a deep understanding of SEBI regulations and secretarial standards. Minimum 5-6 years of core experience in secretarial and compliance management. Hands-on proficiency with MCA21, BSE, and NSE e-filing portals. Strong drafting skills with the ability to interpret complex legal and regulatory frameworks. Excellent communication and interpersonal skills to manage relationships with stakeholders and regulators.
